Version 1.0 โ€“ May 2026 HtohTalks Institution Binding on All Users

These Terms and Conditions govern all engagements, purchases, coaching services, digital products, courses, assessments, masterclasses, and interactions conducted through HtohTalks Institution and all associated brands and platforms. By engaging with any product or service โ€” paid or free โ€” you agree to these Terms in full. If you do not agree, cease all engagement immediately.

Section 01 โ€” Definitions and Parties

Who These Terms Govern

The InstitutionRefers to HtohTalks Institution, operating through htohtalks.com and all associated brands, products, services, platforms, and social channels including the Marriage Is Business framework, the HTOH Academy, Partnership Intelligence Briefing, and all related content.
The ClientAny individual, couple, organisation, coach, therapist, or institution that accesses, purchases, downloads, subscribes to, or engages with any product, service, digital asset, or content produced or operated by HtohTalks Institution โ€” whether paid or free.
EngagementAny paid or unpaid interaction between the Client and the Institution โ€” including but not limited to: digital product purchase, course access, masterclass attendance, coaching session, assessment completion, email subscription, and content consumption.
ProductsAll digital goods produced by the Institution including: Marriage Is Business (book); Strategic Partnership Toolkit; Communication Workbooks; Marriage Journals; Digital Resource Packs; Cheat Sheets; and the Marriage Intelligence Dossier.
ServicesAll coaching engagements, masterclasses, webinars, retreats, workshop facilitation, premarital counselling sessions, conflict resolution programs, and any other live or virtual service delivered by the Institution.
PlatformThe website htohtalks.com and all associated subdomains, landing pages, digital storefronts, and platforms operated by or on behalf of HtohTalks Institution.

Section 02 โ€” Scope of Application

What These Terms Cover

These Terms and Conditions apply to all interactions with HtohTalks Institution across every platform, product, and service, regardless of how access was obtained โ€” directly, through referral, social media, podcast, email, or any third-party channel.

By accessing any free content, downloading any digital asset, subscribing to any email list, making any payment, or submitting any application or coaching enquiry, the Client agrees to be bound by these Terms in full.

These Terms are supplemented by the Institution's Refund Policy, Usage Rights Policy, and Privacy Policy โ€” all of which form part of the complete legal agreement between the Client and the Institution. In any conflict between documents, these Terms take precedence.

Includes: Marriage Is Business ($24), Strategic Partnership Toolkit ($55), Book + Toolkit Bundle ($65), Communication Workbook ($27), Marriage Journal ($22), Workbook + Journal Bundle ($43), Digital Resource Packs (Essential $29 / Complete $57 / Pro $97), and Cheat Sheets. All digital products are delivered via instant download upon payment confirmation. All digital product sales are final and non-refundable. See the Refund Policy for the sole exception covering file delivery failure.

Category 02 โ€” Free Resources

Marriage Intelligence Dossier & Partnership Intelligence Briefing

The Marriage Intelligence Dossier (6 diagnostic tools) is offered at no cost. By completing the registration, the Client consents to receive the Dossier and to be subscribed to the Partnership Intelligence Briefing โ€” the Institution's free weekly email. Unsubscription is available at any time via the link in any email. Free resources carry no financial obligation but remain subject to these Terms regarding intellectual property and acceptable use.

Category 03 โ€” Coaching Services

Premarital, Newlywed, Communication & Conflict Resolution Coaching

Coaching engagements are bespoke professional services. Payment confirms acceptance of these Terms and the Refund Policy in full. Session scheduling, deliverables, and specific terms are confirmed in writing upon payment. All coaching payments are non-refundable once a session has been scheduled or conducted.

Category 04 โ€” Masterclasses, Webinars & Retreats

Love Lab Webinar, Masterclass Circle, Virtual & Live Retreats

Live and recorded event access is granted upon payment. Refund eligibility for live events is governed by the specific event's cancellation terms confirmed at time of purchase. Recorded event access, once delivered, is non-refundable. The Institution reserves the right to reschedule live events and will provide reasonable notice where this occurs.

Category 05 โ€” Academy Courses

HTOH Academy โ€” Before Marriage, Early Marriage, Growth & Legacy

Course access is granted upon payment. Access is single-user and non-transferable. Courses are non-refundable once more than 20% of content has been accessed. A refund request within 7 days of purchase may be considered where less than 20% of content has been accessed and a genuine technical barrier (not user error) is documented. See the Refund Policy for full details.

Category 06 โ€” Assessments

SoulSync Spark Test, LoveLogic Blueprint, Facilitated SoulSync

Free assessments (SoulSync Spark Test) carry no financial obligation. Paid assessments (LoveLogic Blueprint, Facilitated SoulSync) are non-refundable once access has been granted and the assessment commenced. Assessment results are personalised and constitute delivery of the service.

Category 07 โ€” Customised Products & Ghostwriting

Custom Digital Products, Ghostwriting & Bespoke Content

Custom product commissions are governed by a separate written brief and payment schedule confirmed between the Institution and the Client. A minimum deposit (typically 50% of the total) is required to commence work. Deposits are non-refundable. Remaining balance is due upon delivery of the agreed deliverable. Specific terms are confirmed in a written brief before work begins.

Section 04 โ€” Payment and Pricing

Investment, Currency & Payment

All prices are quoted in United States Dollars (USD) unless otherwise stated. The Institution reserves the right to change pricing at any time. Pricing changes do not apply retroactively to confirmed purchases.

Payment is accepted via credit card, debit card, and approved payment processors (including Payhip and any other platforms operated by the Institution). All processing fees are the Client's responsibility. The Institution is not responsible for currency conversion costs incurred by international Clients.

Where payment plans are offered for coaching or high-value engagements: a minimum of 50% is required upfront before any engagement begins; all subsequent payments must be received on the agreed schedule; late payment may result in suspension of deliverables without refund of amounts already paid; and failure to complete a payment plan does not entitle the Client to a refund of amounts already received.

Tax obligations arising from any purchase are the sole responsibility of the Client in accordance with the laws of their jurisdiction.

In the event of a delivery failure attributable solely to the Institution, the Client should contact info@htohtalks.com within 48 hours. The Institution will make all reasonable efforts to resolve delivery issues within 5 business days. A delivery failure does not automatically trigger a refund โ€” see the Refund Policy.

Section 06 โ€” Intellectual Property

Ownership, Licensing & Restrictions

All intellectual property produced by HtohTalks Institution โ€” including but not limited to the Marriage Is Business framework; the Marriage Intelligence methodology; all assessment tools and scoring systems; workbook content; journal prompts; course content; podcast content; blog content; brand elements; and all associated materials โ€” is the exclusive property of HtohTalks Institution.

By purchasing or accessing any Product or Service, the Client receives a limited, non-exclusive, non-transferable, non-sublicensable personal use licence only. This licence grants no ownership rights. The Client may not: reproduce, resell, redistribute, or adapt any materials; use any content in a commercial offering without written permission; train any AI model on Institution content; or share access credentials with any third party.

The brand names HtohTalks, HtohTalks Institution, Marriage Is Business, Partnership Intelligence Briefing, HTOH Academy, and all associated product names are protected intellectual property. Unauthorised use constitutes trademark infringement.

Section 07 โ€” Confidentiality

Mutual Confidentiality Obligations

Institution obligations to the Client

All information shared by the Client in the course of any engagement โ€” including relationship details, personal circumstances, financial information, and coaching session content โ€” is treated as strictly confidential. This information will not be shared with any third party without the Client's explicit written consent, except where required by law.

Client obligations to the Institution

Any non-public information shared by the Institution in the course of an engagement โ€” including unpublished frameworks, proprietary methodologies, and session content โ€” is confidential and must not be shared with any third party without written permission.

Section 08 โ€” Disclaimers and Limitations

What the Institution Cannot Guarantee

HtohTalks Institution's products and services are educational frameworks and relationship tools. They are not therapy, psychological counselling, medical advice, legal advice, or financial advice. No guarantee of specific relationship, personal, or institutional outcomes is made or implied. Results depend entirely on the honest engagement and effort of the individuals using the tools.

The Institution's total liability to the Client, for any reason whatsoever, shall not exceed the total amount paid by the Client for the specific product or service giving rise to the claim. The Institution is not liable for any indirect, incidental, consequential, or punitive damages.

Individuals experiencing a relationship crisis, domestic difficulty, or mental health concern are encouraged to seek support from a licensed professional in their jurisdiction. HtohTalks tools are designed to complement โ€” not replace โ€” professional care.

Section 09 โ€” Acceptable Use

How You May and May Not Engage

The Client agrees to use all Institution products, services, and platforms in good faith. The following uses are expressly prohibited:

  • Using any product or service for any unlawful purpose
  • Submitting false, fraudulent, or misleading information in any form, assessment, or coaching application
  • Attempting to gain unauthorised access to any Institution system, database, or account
  • Impersonating HtohTalks Institution, any associated brand, or any representative
  • Using Institution materials to create competing products, courses, or services
  • Sharing product access, download links, or course credentials with any unauthorised person
  • Using any Institution content to train any artificial intelligence or machine learning model
  • Engaging in conduct that is abusive, threatening, or harmful toward the Institution or any associated person
  • Filing fraudulent chargebacks after products or services have been delivered

Section 10 โ€” Termination

When and How Engagements End

The Institution reserves the right to terminate any engagement immediately and without refund where the Client: breaches any provision of these Terms; provides false or fraudulent information; engages in abusive conduct; violates intellectual property provisions; or fails to comply with payment obligations.

Termination does not affect the continued operation of these Terms regarding intellectual property, confidentiality, governing law, or any provisions that by their nature should survive termination.

Section 11 โ€” Governing Law and Disputes

Legal Framework & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and, where applicable, international commercial law, without regard to conflict of law principles.

In the event of a dispute, the parties agree to first attempt resolution through good-faith written communication within 30 calendar days of the dispute arising. Contact: info@htohtalks.com.

If resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration. The arbitrator's decision shall be final and binding on both parties. Class action proceedings are expressly waived.

Nothing in this section prevents the Institution from seeking urgent injunctive relief in any court of competent jurisdiction to protect its intellectual property or prevent ongoing harm.

Section 12 โ€” Modifications

How These Terms May Change

The Institution reserves the right to modify these Terms at any time. The most current version will always be available at htohtalks.com/legal. Modifications do not apply retroactively to active engagements. Continued use of any Institution product, service, or platform following modification constitutes acceptance of the modified Terms.

By engaging with any product, service, or content provided by HtohTalks Institution, you confirm that you have read, understood, and agree to these Terms and Conditions in full. These Terms are effective immediately upon first engagement.

This policy sets out clearly and completely when refunds apply, when they do not, and what remedies are available in each circumstance. Read this policy in full before making any purchase. By making payment, you confirm that you have read and understood this policy. We will not correspond on refund requests that fall outside the qualifying circumstances defined below.

The Non-Refundable Position โ€” Full Explanation

Why Digital Products Are Non-Refundable

A Non-Refund Policy โ€” Applies to All Digital Products

All payments made toward digital products โ€” including the Marriage Is Business book, Strategic Partnership Toolkit, Communication Workbook, Marriage Journal, all bundles, and all Digital Resource Pack tiers โ€” are strictly non-refundable in all circumstances.

This policy is absolute and applies regardless of: change of personal or relationship circumstances, dissatisfaction with content, inability to use the tools, disagreement with the framework, or any other reason not explicitly identified in this policy as a refundable circumstance.

The Institution's digital products are delivered instantly upon payment. The moment your payment clears, you receive access to the complete product โ€” files are issued, download links are generated, and the transaction is fulfilled on the Institution's side. You are purchasing access to intellectual content, not a physical item. That access cannot be revoked or returned.

The non-refundable nature of digital products reflects this irreversible delivery โ€” not a lack of care for the Client's experience.

Non-Refundable Scenarios โ€” Digital Products

Scenarios That Do Not Qualify for Refund

  • The Client changes their mind after payment
  • The Client does not use or open the product
  • The Client disagrees with the framework, methodology, or approach
  • The Client is dissatisfied with the content, tone, or style
  • The Client purchased the wrong product or tier
  • The Client made a duplicate purchase
  • The Client's relationship or personal circumstances changed after purchase
  • The Client's device or software is incompatible with the PDF format
  • The Client did not read the product description before purchasing
  • A third party advised the Client not to proceed
  • The Client found alternative resources after purchase
  • The Client does not complete the workbook, journal, or exercises

Refundable Circumstances โ€” When Refunds Do Apply

The Specific Situations Where Refunds Are Available

Circumstance 01 โ€” Digital Product: Undeliverable or Corrupted File

File Delivery Failure

If a digital product file is purchased and the file cannot be delivered to the email provided, or the delivered file is materially corrupted (cannot be opened or is substantially incomplete), the Client may request a full refund or re-delivery within 48 hours of the purchase date. File format incompatibility on the Client's device does not qualify as a delivery failure. The Institution will first attempt re-delivery before a refund is issued.

Circumstance 02 โ€” Academy Course: Technical Barrier Within 7 Days

Course Access Failure

If a Client has accessed less than 20% of a course's content and can demonstrate a genuine technical barrier โ€” not user error โ€” that prevents access to the course material, a refund may be considered within 7 days of purchase. The Client must provide documented evidence of the technical issue and must have contacted info@htohtalks.com within 48 hours of the issue arising. Refunds under this circumstance are at the Institution's sole discretion.

Circumstance 03 โ€” Live Event: Institution Cancellation

Event Cancelled by Institution

If a live masterclass, webinar, or retreat is cancelled by the Institution and is not rescheduled within 60 days, the Client is entitled to a full refund of the event ticket price. Rescheduling does not trigger a refund entitlement. Travel, accommodation, or any ancillary costs incurred by the Client are not covered.

Circumstance 04 โ€” Coaching: Application Declined After Payment

Application Not Accepted

If a Client makes a payment before their coaching application is formally accepted and the application is subsequently declined by the Institution, a full refund will be issued within 14 business days. Note: payments should only be made after receiving written acceptance โ€” payment before acceptance is at the Client's own risk.

How to Request a Refund: All refund requests must be submitted in writing to info@htohtalks.com within the timeframe specified for the applicable circumstance. Include: full name, email address used for purchase, product purchased, date of purchase, and a clear description of the qualifying circumstance. Requests submitted outside the specified timeframe will not be considered.

Chargebacks

Fraudulent Dispute Policy

HtohTalks Institution maintains complete records of all transactions, delivery confirmations, and download activity. Any chargeback initiated after confirmed product delivery constitutes a fraudulent dispute.

The Institution will contest every such chargeback with full supporting documentation. Clients confirmed to have filed fraudulent chargebacks will be permanently banned from all HtohTalks products and services and may be reported to the relevant payment processor and applicable authorities.

By making any payment to HtohTalks Institution, you confirm that you have read and understood this Refund Policy in full and agree to its terms. You acknowledge which circumstances qualify for refund and which do not. We will not respond to refund requests that fall outside the qualifying circumstances defined above.

This policy defines how Clients may and may not use content, frameworks, tools, and materials produced by HtohTalks Institution. It covers the Marriage Is Business framework, all digital products, course content, podcast content, website content, and all associated intellectual property. Read this before purchasing or using any Institution material.

Section 01 โ€” Intellectual Property Ownership

Everything the Institution Creates Is Protected

The following intellectual property is owned exclusively by HtohTalks Institution and is protected by United States and international intellectual property law:

  • The Marriage Is Business framework โ€” including all methodology, principles, language, and associated tools
  • The EROI (Emotional Return on Investment) concept, calculator design, and associated framework
  • All assessment tools and scoring systems including the SoulSync Spark Test, LoveLogic Blueprint, and Facilitated SoulSync
  • The book Marriage Is Business โ€” all content, design, and associated materials
  • All Communication Workbook, Marriage Journal, and Digital Resource Pack content, prompts, exercises, and frameworks
  • All HTOH Academy course content, modules, lessons, worksheets, and learning materials
  • All podcast content, blog articles, social media content, and associated materials
  • All website content at htohtalks.com and associated domains
  • All brand names: HtohTalks, HtohTalks Institution, Marriage Is Business, Partnership Intelligence Briefing, HTOH Academy, and all associated product names
  • All logos, visual brand elements, colour systems, typography, and design assets
  • The Strategic Partnership Toolkit โ€” all templates, frameworks, and implementation guides
  • The Marriage Intelligence Dossier โ€” all 6 tools, designs, and associated content

Section 02 & 03 โ€” Permitted and Prohibited Uses

  • โœ“ Listening to and sharing episode links from the HtohTalks podcast for non-commercial purposes
  • โœ“ Purchasing and reading the book and discussing its contents in non-commercial settings
  • โœ“ Completing and applying Academy course content for your own personal development
  • โœ“ Coaches using the Pro Pack โ€” use of materials with paying clients under the single-practitioner facilitator licence included with the Pro Pack purchase only

  • โœ• Reproducing any portion of any Institution content โ€” workbook prompts, journal exercises, course modules, blog articles, or framework descriptions โ€” in any format without written permission
  • โœ• Teaching, coaching, or training others using the Marriage Is Business framework in any paid or free context without a written licensing agreement
  • โœ• Creating courses, workshops, programs, or any educational content based on or derived from Institution frameworks without written permission
  • โœ• Publishing or reproducing your personalised assessment report in any public forum, website, book, or media
  • โœ• Sharing product download links, login credentials, or course access with any other person
  • โœ• Using any Institution content to train any AI model, large language model, or machine learning system
  • โœ• Using any Institution brand name, logo, or visual identity in any commercial context without written permission
  • โœ• Creating accounts, websites, or profiles that imply affiliation with or endorsement by HtohTalks Institution
  • โœ• Translating any Institution content into another language without written permission
  • โœ• Creating derivative works, adaptations, or modifications of any Institution content
  • โœ• Reproducing podcast episodes, transcripts, or blog articles in any format without written permission

Section 04 โ€” Commercial Licensing

How to Obtain a Commercial Licence

HtohTalks Institution does offer commercial licensing arrangements for coaches, therapists, organisations, and educators who wish to use the Marriage Is Business framework or associated materials in commercial contexts. The Pro Pack includes a single-practitioner facilitation licence as standard.

For all other commercial licensing enquiries, submit a written request to info@htohtalks.com including: your full name and organisation; a description of the intended commercial use; estimated audience size and geographic reach; duration of intended use; and proposed commercial arrangement or budget.

The Institution is not obligated to grant any licence and reserves the absolute right to decline any request without providing reasons. Licensing arrangements, where granted, are documented in a separate written agreement.

Section 05 โ€” Enforcement

How the Institution Protects Its Intellectual Property

HtohTalks Institution actively monitors for unauthorised use of its intellectual property across all digital platforms, social media channels, and educational platforms.

In the event of confirmed unauthorised use, the Institution reserves the right to: issue a formal cease and desist notice; submit takedown requests to relevant platforms; pursue civil claims for copyright and trademark infringement; seek injunctive relief; and claim damages including statutory damages where applicable.

The Institution does not provide warnings before pursuing legal remedies in cases of commercial infringement. Agreement to these Terms constitutes full notice of the Institution's intellectual property rights and enforcement intentions.

By accessing any product, service, or content provided by HtohTalks Institution, you confirm that you have read and understood these Usage Rights and agree to use all materials only in the ways expressly permitted by this policy.

Section 02 โ€” How We Use Your Data

  • To communicate with you: Your email is used for product delivery, session confirmations, and payment receipts
  • To send the Partnership Intelligence Briefing: By registering or purchasing, you consent to receive the Institution's free weekly email. Unsubscribe at any time.
  • To improve services: Aggregated, anonymised data may be used to improve tools and frameworks. Individual responses are never published in identifiable form.
  • To maintain legal and financial records: Payment data is retained as required by applicable law

When and With Whom Data Is Shared

The Institution shares personal data only in the following limited circumstances: with service providers (email delivery platforms, payment processors, website hosting) who receive only the data necessary for their specific function and are bound by data processing agreements; when required by law, court order, or regulatory authority; and in the event of a business transfer, with Clients notified in advance.

Assessment response data is never shared with any third party in identifiable form. Aggregated, non-identifiable data may be used for service improvement only.

In the unlikely event of a data breach posing a risk to your rights and freedoms, the Institution will notify affected individuals and relevant authorities in accordance with applicable law.

HtohTalks Institution's products and services are designed exclusively for adults aged 18 and over. The Institution does not knowingly collect personal data from individuals under the age of 18.
